TERMS & CONDITIONS

 

1. PRODUCT STANDARDS. Cans shall comply with the following Product Standards:

 

a. Buyer shall provide Craft with print-ready artwork formatted to fit Craft’s templates. Craft may make suggestions to enhance Buyer’s artwork, but Buyer is responsible for preparing, formatting, and submitting the design. Artwork must be received at least twenty-one (21) days prior to Buyer’s need-by date for the Cans. Artwork received less than twenty-one (21) days prior to Buyer’s need-by date may incur a rush processing fee or delay production of Buyer’s cans.

 

b. Prior to production of the Cans, Craft will produce one physical sample can per design (“Sample”), Craft reserves the right to charge a sample fee to the Buyer for each sample provided. Buyer shall have the option to review and approve the Sample via photograph or in person at Craft’s production facility located at 2321 NE Argyle Street, Suite D, Portland, Oregon, 97211 (“Facility”). If Buyer is outside of the Portland, Oregon Metro Area, Buyer may request Craft mail the physical Sample to their address.

 

c. Buyer is responsible for closely reviewing and approving the Sample. Buyer shall provide written confirmation that a Sample is approved for production. Production of the Cans will not commence until the Sample(s) have been approved by the Buyer. Craft is not responsible for proofreading art submitted by Buyer. Buyer is solely responsible for ensuring the text, graphics, and any other design elements are free of spelling errors, compliant with any applicable government regulations, and appropriately reflect the ingredients, production and packaging location, alcohol, CBD, or information required by law to be disclosed on the Can.

 

2. TITLE/RISK OF LOSS.
During production, Craft shall closely monitor the printing process to ensure the finished Cans match the approved Sample. Buyer acknowledges that up to 3% of the Cans may contain minor color variation, varnish inconsistency, pixelation, or other aesthetic anomalies (“Flaws”). Should more than 3% of the Cans provided to Buyer contain such Flaws, Craft shall either reprint the damaged quantity at no cost to Buyer or provide an equivalent print credit.


Buyer must submit any claim related to Flaws in writing within seven (7) days of receiving the Cans. Claims submitted after this period will be rejected by Craft. Craft will make every reasonable effort to reprint any damaged quantity, but such reprints shall be subject to Craft’s current lead times and production schedule.


For orders with verified Flaws, if the total number of affected Cans is less than the Minimum Order Quanitity—a print credit will be issued instead of a reprint. Only damages exceeding those thresholds will qualify for a reprint.

 

3. ORDER SUBMISSION. An order is not considered accepted or scheduled for production until a formal Purchase Order (“PO”) has been received by Craft. Buyer must submit a PO referencing the desired production quantity, can size, consumables, and need-by date. Orders will be placed into Craft’s production schedule only upon receipt of a valid PO.

 

a. Changes made to Buyer’s order fewer than fourteen (14) days prior to Buyer’s need-by date are not guaranteed. In such situations, if changes can be reasonably made to Buyer’s order, Craft reserves the right to levy last-minute change charges.

 

4. PAYMENT. Payment shall be made in accordance with Craft’s invoicing terms:

 

a. Craft shall send an invoice for the entire price of the order when a Purchase Order is received. The Final Invoice will include any adjustments to the order made after the Deposit Invoice was sent, any consumable purchases, freight or delivery fee, and a dunnage deposit. The Final Invoice is due upon receipt. The order will not leave Craft’s facility until the Final Invoice is paid in full.

 

i. Dunnage refers to the pallets, weights, and slip sheets on which the Cans are palletized and shipped. The dunnage deposit is fully refundable once said Dunnage is returned in clean, usable condition.

 

• Buyer is responsible for returning the Dunnage to Craft’s Facility at Buyer’s own expense within 90 days of receipt.

• No refund shall be provided should the returned Dunnage be, damaged, dirty, or otherwise unusable.

• For dunnage returned between 91 and 120 days after receipt, Buyer will be refunded 20% of their dunnage deposit.

• Dunnage returned after 120 days will result in the forfeiture of the entire dunnage deposit.

• At Buyer’s request, one-way wood dunnage may be used instead of reusable dunnage. In such cases, the cost of one-way dunnage will be included as a separate line item on the Final Invoice and must be paid in full.

 

b. Orders with a need-by date of fewer than twenty one (21) days from the date the order is placed are considered rush orders and are subject to a rush order charge. The rush fee shall be included in the Final Invoice.

 

5. DELIVERY. Buyer shall determine their preferred method of receiving the Cans. Buyer may:

 

a. Pick up the Cans themselves at Craft’s Facility.

b. Arrange a freight pick up through the provider of Buyer’s choice.

c. Request Craft arrange a freight pick up through the provider of Craft’s choice. The shipping and handling costs shall be added to Buyer’s Final Invoice for the Cans.

 

6. WARRANTIES. Craft shall ensure that the Cans leave Craft’s Facility in usable, undamaged condition. Buyer acknowledges that up to 3% of the Cans may incur minor dents or surface damage during the palletization process, which is considered industry-standard and acceptable.

 

Once the Cans leave Craft’s Facility, Craft shall not be responsible for any damage incurred during freight, handling, storage, or packaging by Buyer or any third party. This includes damage caused by the freight provider, regardless of whether the carrier was arranged by Buyer or by Craft on Buyer’s behalf.

 

If Craft arranges freight and significant damage occurs during transit, Buyer is responsible for submitting a claim directly with the freight carrier. Craft’s responsibility ends once the Cans are transferred to the freight provider.

 

Additionally, Craft shall not be liable for any damage incurred after Buyer has taken possession of the Cans, including damage resulting from Buyer’s packaging processes or storage environment. If Buyer chooses to pasteurize the Cans (by any method), Buyer assumes full responsibility for any damage incurred, including chipping, product loss, or delamination. Craft makes no guarantee that the Cans will withstand pasteurization without damage.

 

7. INSPECTION AND RETURNS
Buyer has seven (7) calendar days from the date of receipt of the Cans to inspect them for material issues. If the Cans remain at Craft’s facility beyond the need-by date listed in the Purchase Order (“PO”), the seven-day inspection window begins on that date. To report any issue, Buyer must submit a written notice and completed Return Request Form within this timeframe. Claims made after this period will not be considered.

 

a. What Qualifies as Non-Conforming
“Non-conforming” means the Cans deviate from approved specifications in a way that renders them unusable — such as incorrect artwork, wrong can size, or major mechanical damage. Minor issues like color shifts, pixelation, or finish inconsistencies affecting less than 3% of the order are considered normal for digital printing and do not qualify as non-conforming.

b. How Claims Are Handled
Craft reviews reported issues and determines whether to provide a replacement, credit, or no action. Refunds are not available unless specifically approved. Photo documentation or sample cans may be required to support the claim.

c. Review Timeline
Most claims are reviewed and resolved within 6 to 8 weeks after Craft receives the required documentation. Craft will notify Buyer of the outcome in writing.

d. Return Policy
Returns are not accepted unless Craft verifies a material issue and authorizes the return. Returns due to overstock, buyer preference, or other non-material reasons are not eligible for credit or refund.

e. Storage Fees
If Cans are not picked up or shipped within 7 calendar days after the need-by date listed in the PO, weekly storage fees apply starting on day 8. Rates are available upon request.

 

8. SOCIAL MEDIA. Craft reserves the right to post images of Buyer’s Cans on Craft’s social media pages. Craft shall not post any images of Buyer’s Cans until the Cans have been released for sale to the public without Buyer’s prior consent.

 

9. CONFIDENTIALITY
During the course of doing business, Buyer and Craft may obtain access to confidential or proprietary information related to the other party’s business. Both parties agree to treat such information—including pricing, designs, production methods, and customer information—as confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation shall continue even after the transaction is complete.
